1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Total Design Labs, operating the brand The Gilded Registry ("we," "us," or "our"), governing your use of The Gilded Registry wedding planner application (the "Product"). By purchasing, downloading, opening, or otherwise using the Product, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must not use the Product. Your continued use of the Product following any modifications to these Terms constitutes acceptance of the revised Terms.

You represent that you are at least 18 years of age, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into this agreement. If you are using the Product on behalf of another person, you represent that you have the authority to bind that person to these Terms.

2. Product Description

The Gilded Registry is a self-contained, single-file HTML wedding planning application delivered as a digital download through the Etsy marketplace. The Product operates entirely within your web browser and includes the following features:

• Budget tracking and financial planning tools
• Guest list management
• Seating arrangement planner
• Wedding preparation checklist
• Event timeline organizer
• Gift tracking system
• Vendor management tools
• Visual design and customization options
• Settings and configuration panel
• Built-in user guide

The Product supports multiple languages (English, German, French, Spanish, Italian, Portuguese, Indonesian, and Dutch) and multiple currencies (including USD, GBP, EUR, and AUD, among others).

Important: The Product is a digital organizational tool only. It does not constitute, and should not be relied upon as, professional wedding planning advice, financial advice, legal advice, or any other form of professional counsel. The Product does not replace the services of a professional wedding planner, financial advisor, or any other licensed professional. All planning decisions made using the Product are your sole responsibility.

3. License and Permitted Use

Upon purchase, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Product for your personal, non-commercial purposes, subject to the following conditions:

3.1 Permitted Uses

• Using the Product to plan your own wedding or the wedding of an immediate family member within a single household
• Opening the Product file in any compatible web browser on devices you own or control
• Creating backup copies of the Product file for your personal archival purposes

3.2 Restrictions

You may not:

• Redistribute, resell, sublicense, rent, lease, or otherwise transfer the Product or any copy thereof to any third party
• Share the Product file with individuals outside your household
• Use the Product for commercial purposes, including but not limited to offering wedding planning services to clients using this Product
• Modify, adapt, translate, reverse-engineer, decompile, disassemble, or create derivative works based on the Product
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Product
• Upload or host the Product file on any publicly accessible server or website
• Claim authorship or ownership of the Product or any portion thereof

3.3 Household License

One purchase entitles one household to use the Product. A "household" is defined as individuals residing at the same physical address. If multiple households wish to use the Product, each must obtain a separate license through an individual purchase.

4. Intellectual Property

The Product, including but not limited to its source code, design, layout, visual elements, icons, graphics, text content, user interface, and overall structure, is and remains the exclusive intellectual property of Total Design Labs (operating as The Gilded Registry) and is protected by applicable copyright, trademark, and other intellectual property laws.

Your purchase grants you a license to use the Product as described in Section 3. No ownership rights, title, or interest in the Product or its intellectual property are transferred to you through purchase or use. All rights not expressly granted in these Terms are reserved by Total Design Labs.

Any data you enter into the Product remains your own property. We claim no ownership or rights over any personal information, wedding details, or other content you input while using the Product.

5. User Data and Privacy

Your privacy is fundamental to our design philosophy. The Product was specifically architected to ensure that your personal information never leaves your device.

5.1 Local-Only Data Storage

All data you enter into the Product is stored exclusively in your web browser's localStorage on your own device. The Product:

• Does not transmit any data to external servers
• Does not require an internet connection after initial download
• Does not create user accounts
• Does not use cookies for tracking purposes
• Does not collect analytics or usage data
• Does not contain any third-party tracking scripts
• Does not communicate with any remote API or service

5.2 Data Responsibility

Because all data resides solely on your device, you are entirely responsible for the security and backup of your data. We have no ability to access, recover, restore, or retrieve any data you enter into the Product.

6. Disclaimer of Warranties

THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Product will meet your specific requirements or expectations
• Warranties that the Product will be uninterrupted, error-free, secure, or free of viruses or other harmful components
• Warranties regarding the accuracy, reliability, or completeness of any calculations, suggestions, or outputs generated by the Product

6.1 No Guarantee of Data Persistence

Because the Product relies on your browser's localStorage, we do not and cannot guarantee the persistence, integrity, or availability of your data. Data may be lost or corrupted due to, among other causes:

• Clearing browser data, cache, or cookies
• Browser updates or reinstallation
• Operating system changes or reinstallation
• Device failure, damage, or replacement
• Use of private/incognito browsing modes
• Storage quota limitations imposed by the browser
• Third-party software (including browser extensions) that modifies or clears localStorage

6.2 No Guarantee of Browser Compatibility

While the Product is designed to function in modern web browsers, we do not warrant compatibility with all browsers, browser versions, operating systems, or device configurations. Browser vendors may alter or remove features that the Product relies upon without notice to us or to you.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE GILDED REGISTRY, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES arising out of or in connection with your use of or inability to use the Product, including but not limited to:

• Loss of data entered into the Product
• Missed deadlines, appointments, or scheduling conflicts
• Incorrect budget calculations or financial planning errors
• Wedding planning outcomes, including but not limited to vendor disputes, guest list issues, or event logistics failures
• Emotional distress related to wedding planning decisions made using the Product
• Loss of profits, business opportunities, or goodwill
• Cost of procurement of substitute goods or services

OUR TOTAL AGGREGATE LIABILITY to you for all claims arising out of or relating to these Terms or the Product shall not exceed the amount you paid for the Product.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.

8. International Use

The Product is available for purchase worldwide and supports multiple languages and currencies to serve an international user base. However, you acknowledge and agree that:

• You are solely responsible for ensuring that your use of the Product complies with all applicable local, state, national, and international laws and regulations in your jurisdiction
• The Product was not designed to comply with the specific legal or regulatory requirements of any particular country, region, or jurisdiction beyond general international best practices
• Tax calculations, budget categories, and financial features are provided for organizational purposes only and do not constitute tax advice or compliance tools
• Currency conversion and display features are for planning convenience and may not reflect current exchange rates

If you access or use the Product from outside the jurisdiction in which it was originally published, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

9. Refund Policy

The Product is a digital item sold through the Etsy marketplace. Due to the nature of digital products, which can be copied and retained after download, the following refund terms apply:

• Refund eligibility is governed by Etsy's Refund Policy for digital items
• We encourage you to review all product descriptions, screenshots, and documentation prior to purchase
• If you experience a technical issue that prevents the Product from functioning, please contact us before requesting a refund so that we may attempt to resolve the issue
• Under EU and UK consumer protection law, you may have the right to cancel a digital purchase within 14 days if the product has not been downloaded or accessed, and if you have not expressly consented to waive your right of withdrawal upon purchase

We are committed to customer satisfaction. If you believe you are entitled to a refund under applicable consumer protection law, please contact us and we will work with you in good faith.

10. Modifications to Terms

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of this document.

Because the Product operates entirely offline after download, we have no mechanism to push updates or notifications to existing users. It is your responsibility to periodically review the current version of these Terms, which will be available on our product listing and associated web pages.

Your continued use of the Product after any modifications to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Product.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. This choice of law does not deprive consumers of the protection afforded by the mandatory consumer protection laws of their country of residence.

11.2 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Product, the parties agree to first attempt to resolve the matter through good-faith informal negotiation. Either party may initiate this process by providing written notice to the other party describing the nature and basis of the dispute.

If the dispute cannot be resolved through informal negotiation within thirty (30) days of the initial notice, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and shall take place remotely via videoconference unless both parties agree to an in-person venue.

11.3 Consumer Rights

Nothing in this section shall limit your rights as a consumer under applicable mandatory consumer protection legislation, including but not limited to:

• The right to bring claims in your local courts as provided under EU Regulation 1215/2012 (for EU/EEA residents)
• Rights under the UK Consumer Rights Act 2015 (for UK residents)
• Rights under the Australian Consumer Law (for Australian residents)
• Rights under the Canadian Consumer Protection Acts (for Canadian residents)
• Rights under Indonesia's Consumer Protection Law No. 8 of 1999 (for Indonesian residents)
• Rights under Brazil's Consumer Defence Code (for Brazilian residents)

13. Severability

If any provision of these Terms is found to be invalid, unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, and all remaining provisions shall continue in full force and effect.

The parties agree that the court or arbitrator making such a determination shall endeavour to give effect to the original intent of the provision to the greatest extent consistent with applicable law.

14. Entire Agreement

These Terms, together with our Privacy Policy and any supplemental terms or policies referenced herein, constitute the entire agreement between you and Total Design Labs (operating as The Gilded Registry) with respect to your use of the Product. These Terms supersede all prior or contemporaneous communications, proposals, representations, understandings, and agreements, whether written or oral, between you and Total Design Labs regarding the Product.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

If there is any conflict between these Terms and information provided on the Etsy product listing page, these Terms shall control.
